ReqReporting Paid Beta End User Licence Agreement and Terms of Sale

ReqReporting is paid beta software. It may be incomplete, unstable, inaccurate, unavailable, insecure, or incompatible with particular accounting exports or later versions. Keep verified source backups and independently review every report.

This Agreement governs the annual ReqReporting licence purchased through the official Stripe-hosted checkout at alkensdevelopment.ch/reqreporting. It is a business-owner draft based on the ReqBridge Paid Beta model and is not a statement that a lawyer, tax adviser, or regulator has approved the product or these terms.

1. Parties and acceptance

This Agreement is between ALKENS DEVELOPMENT (the "Provider") and the purchasing individual, business, or organisation (the "Customer"). The person completing checkout confirms that they are legally able and, where applicable, authorised to bind the Customer.

The Customer must affirmatively accept the current Terms of Sale, Paid Beta Notice, and Privacy Notice before payment and must accept the matching legal bundle in the desktop application before use. The acceptance record identifies the document versions and timestamp. If the Customer does not agree, it must not purchase, download, install, or use ReqReporting.

2. Plans, seats, price, and taxes

The published annual price is the fixed gross/final customer total. Under the Provider's current monitoring model, no VAT or sales tax is presented as collected while no applicable tax registration is active. If tax later becomes due under this fixed-price model, it is included in, and not added on top of, the published total. Stripe shows the selected plan, annual billing interval, currency, tax treatment, and total amount due before payment. Checkout may collect business and tax-identification information, which the Customer must provide accurately. Mandatory tax and consumer-price rules remain unaffected.

3. Licence grant

Subject to payment and compliance with this Agreement, the Provider grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable annual licence to install and use ReqReporting for the purchased number of active users. The software is licensed, not sold. Intellectual-property rights remain with the Provider.

4. Term, automatic renewal, cancellation, and grace period

The initial licence is valid for 365 days from issuance. Unless cancelled before the renewal date, the Stripe subscription renews automatically for another 365-day term at the then-current price for the selected plan. The Customer may request cancellation of future renewal at any time by emailing support@alkensdevelopment.ch from the billing address. Cancellation takes effect at the end of the term already paid for unless mandatory law requires otherwise.

After an unrenewed term expires, ReqReporting remains usable for a 14-calendar-day grace period. At the end of that period, normal access is locked until a new valid signed licence is activated. Expiry, cancellation, or locking does not delete the Customer's local workbooks, configuration, or exported reports.

5. Payment, digital delivery, withdrawal, and refunds

Stripe processes payment and subscription data. The Provider does not receive or store the Customer's full card number. After confirmed payment, the licence and a protected installer link are delivered electronically.

Where applicable consumer law grants a withdrawal right for digital content, the Customer is asked separately at checkout to request immediate digital delivery and to acknowledge that beginning the download or using the supplied licence may cause the statutory withdrawal right to expire. Mandatory rights remain unaffected if the required legal conditions are not met.

Refund requests may be sent to support@alkensdevelopment.ch and are considered case by case, subject to mandatory consumer law. A full refund, confirmed payment reversal, or chargeback may revoke the associated licence. A partial refund is placed in manual review. Failed renewal payments may place the subscription in a past-due state; the grace-period rules apply unless mandatory law requires different treatment.

6. Permitted use and restrictions

The Customer may use ReqReporting only within its organisation and purchased active-user allowance. It must not redistribute the installer or licence, sublicense the software, bypass licence or security controls, use the software unlawfully, infringe third-party rights, or represent ReqReporting as certified accounting, audit, tax, payroll, legal, or regulatory software. Reverse engineering is prohibited except where mandatory law expressly permits it.

7. Reporting limitations and Customer review

ReqReporting imports and maps financial and operational source files and produces management analyses. Results depend on the completeness, classification, period logic, account mapping, language, signs, units, and quality of the supplied data. Automatic mappings and accounting explanations may be wrong or incomplete.

The Customer must reconcile imported totals to the source accounting system, review warnings and mappings, verify previous-year and budget comparisons, and professionally review all PDF, Excel, and PowerPoint outputs before relying on them. Reports are management aids and are not certified financial statements, audits, tax/VAT filings, payroll calculations, legal opinions, or regulatory submissions.

ReqReporting must not be the only copy of any data or the sole basis for accounting close, tax, payroll, employment, financing, regulated, safety-critical, deadline-critical, or irreversible decisions.

8. Local data and Customer responsibilities

Workbook processing is local in the current release; ReqReporting does not intentionally upload workbook content to the Provider, Stripe, or Infomaniak. The Customer controls its source files, local accounts, devices, folders, exports, backups, permissions, and retention.

The Customer is responsible for lawful processing of financial, client, supplier, and employee data; limiting access; maintaining verified independent backups; protecting licence material; applying professional accounting judgement; and redacting confidential or personal data before voluntarily sending support material.

9. Updates and compatibility

Beta features, mappings, templates, data structures, and exports may change. Compatibility with every accounting system or future version is not guaranteed. The Customer must back up source data and outputs before installing an update. Material legal changes receive a new bundle version and require renewed acceptance.

10. Support

The Provider offers reasonable-efforts email support for installation, activation, imports, and defect reporting. No guaranteed response time, resolution time, uptime, service level, or uninterrupted availability is promised during the Paid Beta.

11. Termination and revocation

The Provider may revoke a specific licence for confirmed fraud, a confirmed payment reversal without corresponding valid payment, unlawful redistribution, circumvention of controls, or another material uncured breach, after reasonable notice where practicable. The Customer may stop using the software and cancel future renewal as described above. Provisions intended by their nature to survive continue after termination.

12. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REQREPORTING, ITS DOCUMENTATION, SUPPORT, UPDATES, MAPPINGS, CALCULATIONS, AND EXPORTS ARE PROVIDED "AS IS", "AS AVAILABLE", AND WITH ALL FAULTS, WITHOUT WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, AVAILABILITY, COMPATIBILITY, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

Nothing excludes a warranty or right that mandatory law does not allow to be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE LOSS, OR FOR LOSS OF DATA, PROFIT, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, AVAILABILITY, OR BUSINESS CONTINUITY ARISING FROM REQREPORTING OR RELIANCE ON ITS OUTPUTS.

The Provider's aggregate liability relating to the software or this Agreement is limited to the fees actually paid for the affected licence term. Nothing excludes or limits liability for unlawful intent, gross negligence, personal injury, mandatory data-protection duties, or another liability that mandatory law does not allow to be excluded or limited.

14. Confidentiality and feedback

Each party must reasonably protect non-public information received from the other. The Customer must treat download links, licence keys, security information, and unreleased features as confidential. Voluntary feedback may be used to improve the product without identifying the Customer or disclosing its confidential information.

15. Governing law and language

Swiss law governs this Agreement, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Courts at Lindau, Canton of Zurich, Switzerland have jurisdiction, except where mandatory law provides another forum, including a mandatory consumer forum.

The English version governs if a German convenience translation conflicts, except where mandatory law requires otherwise. The Agreement, Privacy Notice, Paid Beta Notice, and recorded order/acceptance form the agreement for the purchase.
