Important Beta notice: ReqBridge Team is paid beta software. It may be incomplete, unstable, inaccurate, unavailable, insecure, or incompatible with later versions. Do not use it as the only repository for information or for safety-critical, life-critical, regulated, or irreversible operations. Make and verify independent backups.
This agreement is a prepared business-owner draft, not a statement that a lawyer or regulator has approved it. It is the controlling agreement for a paid annual licence to the ReqBridge Team beta release, purchased through the official Stripe-hosted checkout at alkensdevelopment.ch/reqbridge.
1. Parties and acceptance
This ReqBridge Team Paid Beta End User Licence Agreement and Terms of Sale ("Agreement") is between ALKENS Development ("Provider") and the purchasing individual, business, or organization ("Customer"). The individual completing checkout confirms that they have authority to bind the Customer and to make the purchase.
The Customer must affirmatively accept this Agreement before checkout completes and before receiving or using the software. Acceptance must identify this document version and the release purchased. If the Customer does not agree, it must not complete the purchase, install, or use the software.
2. Edition, seats, and annual fee
The Customer selects one edition at checkout:

The price, currency, applicable tax treatment, seat allowance, and total amount due are shown and must be confirmed before payment at checkout. The edition and seat allowance purchased govern the number of active named users permitted under the licence key issued for that order.
3. Licence grant
Subject to payment and this Agreement, the Provider grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, annual licence to install and use the purchased edition of ReqBridge Team for the number of active users included in that edition, for the licence term described in Section 4.
The software is licensed, not sold. No ownership or intellectual-property right transfers to the Customer. All rights not expressly granted remain with the Provider.
4. Licence term, renewal, grace period, and hard lock
Each paid licence is valid for 365 days from issuance or renewal ("Term"). Unless cancelled before the renewal date, the licence renews automatically for a further 365-day Term at the then-current price for the purchased edition, billed through the same Stripe subscription used at checkout. The Customer may cancel future renewal at any time through the customer portal linked in the order confirmation email; cancellation takes effect at the end of the Term already paid for.
Following expiry of a Term that is not renewed:
- for 14 calendar days ("Grace Period"), the application remains fully usable and displays a renewal reminder;
- at the exact end of the Grace Period, the application locks normal login and protected access for all users. Only licence activation/renewal, legal-document, and health-check functions remain reachable;
- entering a new, currently valid, signed licence key immediately restores full access to the existing workspace;
- the Customer's local workspace data is retained and is not deleted or altered by expiry, the Grace Period, the hard lock, or renewal.
5. Payment, invoicing, and refunds
Payment is processed by Stripe. The Provider does not receive or store the Customer's full card number. A confirmation email and licence key are sent after payment is confirmed by Stripe.
Refund requests may be sent to alkstodevelopment@gmail.com and are considered case by case, consistent with applicable mandatory consumer-protection law. A refund, where granted, does not retroactively revoke the Customer's right to use the software already delivered for the period already paid unless the parties agree otherwise or the Provider revokes the licence under Section 12.
Failed or disputed payments may result in the associated subscription being marked past due; the Provider will notify the Customer before any resulting loss of access, consistent with Section 4's Term/Grace Period mechanics. A confirmed chargeback or fraud dispute may result in revocation under Section 12.
6. Permitted use and restrictions
The Customer may use the software only within the purchased edition's active-user allowance. The Customer must not:
- sell, rent, sublicense, publish, redistribute, or make the installer or a licence key available to a person outside the Customer's own organization;
- share licence material beyond the Customer's own authorized users;
- bypass security, authorization, licence, update, or access controls;
- use the software unlawfully or to infringe third-party rights;
- represent the software as production-certified, mobile-ready, WCAG-conformant, independently security-tested, or suitable for critical use;
- reverse engineer, decompile, disassemble, or modify the software except to the extent a mandatory law expressly permits and does not allow that right to be waived;
- submit malware, unlawful content, or data the Customer is not entitled to process.
7. Known limitations
The Customer acknowledges:
- narrow-screen/mobile layouts are incomplete and the supported viewport is at least 768 px;
- accessibility labels/associations are incomplete and no accessibility-conformance promise is made;
- the Windows executables lack an Authenticode publisher signature and may trigger an "Unknown Publisher" warning; authenticity is checked using the Provider-supplied SHA-256 values and Ed25519 release metadata;
- data formats, workflows, features, and compatibility may change between beta releases; migration to later releases is not guaranteed;
- downtime, defects, corruption, and data loss are possible.
8. Customer responsibilities
The Customer is solely responsible for:
- deciding whether the software is appropriate for its use;
- creating, protecting, testing, and retaining independent file/database backups before installation, update, restore, LAN synchronization, or configuration changes;
- its devices, operating systems, local storage, shared storage, firewall, local network, LAN peers, accounts, permissions, and physical security;
- configuring and supervising any SMTP provider or LAN synchronization it enables;
- the lawfulness, accuracy, confidentiality, and retention of content it enters;
- informing and authorizing its personnel and other affected persons;
- promptly reporting suspected security, privacy, authorization, update, licensing, or data-integrity incidents;
- verifying release hashes before installation and refusing artifacts that do not match;
- keeping its payment method and billing contact details current so renewal is not disrupted.
The Customer must not use the software as the sole copy of any data and must not use it for emergency, medical, safety, life-support, legal-deadline, financial-control, or other use where failure could cause serious harm.
9. Workspace data and privacy
Workspace data is stored on infrastructure selected and controlled by the Customer, such as its device, local network, or shared storage. As between the parties, the Customer determines the purposes and means of processing that workspace data and is responsible for access, notices, permissions, retention, security, and backups.
The Provider does not routinely receive workspace content. If the Customer voluntarily sends logs, screenshots, exports, or workspace content for support, the Customer confirms it is authorized to do so and should minimize/redact personal, confidential, and secret information.
Checkout, billing, licence, download, support, and security data is handled as described in the Paid Beta Privacy Notice.
10. Feedback
The Customer may provide feedback voluntarily. The Customer grants the Provider a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate that feedback into products and documentation without identifying the Customer or disclosing the Customer's confidential information. The Customer is not required to disclose confidential information or assign ownership of its workspace content.
11. Support
The Provider offers reasonable installation, activation, and issue-reporting support by email, on a reasonable-efforts basis. Support response and resolution timeframes are targets, not guarantees, and are stated in the current product documentation where applicable. Beta status means some reported issues may not be fixed within any particular timeframe.
12. Termination and revocation
The Provider may revoke a specific licence for confirmed fraud, confirmed payment reversal without a corresponding valid payment, or a material, uncured breach of Section 6, after reasonable notice where practicable. Revocation of one licence does not retroactively affect an unrelated licence.
The Customer may stop using the software and cancel future renewal at any time as described in Section 4. On termination for any reason, the Customer must stop using the software and any Provider-supplied access material for which the licence has ended, but may retain its own exported workspace data and legally required records. Sections intended by their nature to survive — including ownership, confidentiality, disclaimers, liability, and governing law — survive.
13. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, DOCUMENTATION, SUPPORT, UPDATES, AND RELATED MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT EXPRESS, IMPLIED, STATUTORY, OR OTHER WARRANTY, EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT. THE PROVIDER DISCLAIMS WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, COMPATIBILITY, AND ERROR-FREE OPERATION.
THE PROVIDER DOES NOT WARRANT THAT DEFECTS WILL BE CORRECTED; THAT DATA WILL BE PRESERVED, RECOVERABLE, OR COMPATIBLE WITH A FUTURE RELEASE; OR THAT THE SOFTWARE WILL MEET THE CUSTOMER'S REQUIREMENTS. NOTHING IN THIS AGREEMENT EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED, INCLUDING MANDATORY CONSUMER-PROTECTION RIGHTS WHERE THE CUSTOMER PURCHASES AS A CONSUMER.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROVIDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE LOSS OR DAMAGE, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, SAVINGS, GOODWILL, AVAILABILITY, OR BUSINESS CONTINUITY, ARISING FROM OR RELATED TO THE SOFTWARE, SUPPORT, UPDATES, THIS AGREEMENT, OR THE CUSTOMER'S DEVICES, NETWORK, STORAGE, PEERS, SMTP CONFIGURATION, SECURITY, OR BACKUPS.
WITHOUT LIMITING THE PREVIOUS PARAGRAPH, THE PROVIDER IS NOT RESPONSIBLE FOR CUSTOMER-SIDE DATA LOSS, DATABASE OR FILE CORRUPTION, FAILED BACKUPS, FAILED RESTORES, DOWNTIME, UNAUTHORIZED LOCAL/LAN ACCESS, NETWORK OR FIREWALL MISCONFIGURATION, THIRD-PARTY STORAGE FAILURE, OR INCOMPATIBILITY WITH A LATER BETA RELEASE, EXCEPT TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, UNDER ALL THEORIES OF LIABILITY, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CUSTOMER FOR THE LICENCE TERM DURING WHICH THE CLAIM AROSE.
Nothing in this Agreement excludes or limits liability for unlawful intent or gross negligence, or any other liability that mandatory law does not allow to be excluded or limited. The parties acknowledge that this is beta software supplied at a beta-stage price, and that this allocation of risk is a material basis of the price charged.
15. Indemnity for Customer-controlled content and misuse
To the extent permitted by law, the Customer will defend and indemnify the Provider against third-party claims, losses, and reasonable costs arising from the Customer's unlawful content, lack of authority to process/share data, unauthorized redistribution, breach of Section 6, or use of the software in violation of law or this Agreement. This does not apply to the extent the claim was caused by the Provider's unlawful intent or gross negligence.
16. Confidentiality
Each party must protect non-public information received from the other that is marked confidential or should reasonably be understood as confidential, using at least reasonable care. This does not cover information already lawfully known, public without breach, independently developed, or lawfully received from another source. A legally compelled disclosure may be made after notice where lawful.
The Customer must treat non-public installers, download links, licence material, security details, and unreleased features as Provider confidential information.
17. Governing law and general terms
This Agreement is governed by Swiss law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts at Lindau, Canton of Zurich, Switzerland have exclusive jurisdiction, except where a mandatory rule requires another forum, including any mandatory consumer forum.
This Agreement, the incorporated Privacy Notice, and the order/acceptance record form the entire agreement between the parties for the purchase. A waiver must be written. If a provision is unenforceable, it will be limited to the minimum necessary and the remainder continues. The Customer may not assign this Agreement; the Provider may assign it with the relevant business or intellectual property. Notices may be sent to alkstodevelopment@gmail.com and to the Customer's billing email on file.
The English text governs if a convenience translation conflicts, except where mandatory law requires otherwise.
Deutsche Kurzfassung zur kostenpflichtigen Beta-Vereinbarung
Wichtiger Beta-Hinweis: ReqBridge Team ist eine kostenpflichtige Vorabversion. Die Software kann unvollständig, instabil, fehlerhaft, unsicher oder mit späteren Versionen inkompatibel sein. Sie darf nicht als einzige Ablage für Daten und nicht für sicherheitskritische, lebenswichtige, regulierte oder irreversible Vorgänge verwendet werden. Unabhängige und geprüfte Backups sind zwingend erforderlich.
1. Edition, Preis und Lizenz
Der Kunde wählt beim Checkout eine Edition: Solo (1 Nutzer, CHF 55/Jahr), Team (5 Nutzer, CHF 140/Jahr), Business (20 Nutzer, CHF 550/Jahr) oder Enterprise (40 Nutzer, CHF 1'100/Jahr). Preis, Steuerbehandlung und Gesamtbetrag werden vor Zahlung angezeigt. Die Lizenz wird für die gewählte Edition und Nutzerzahl gewährt, nicht verkauft; Eigentum und Immaterialgüterrechte verbleiben beim Anbieter.
2. Laufzeit, Verlängerung und Sperre
Jede Lizenz gilt 365 Tage und verlängert sich automatisch um weitere 365 Tage zum dann gültigen Preis, sofern nicht vorher über das Kundenportal gekündigt wird. Nach Ablauf einer nicht verlängerten Laufzeit bleibt die Anwendung 14 Tage lang uneingeschränkt nutzbar (Karenzfrist). Danach wird der normale Zugang gesperrt, bis ein neuer gültiger Lizenzschlüssel eingegeben wird; lokale Daten bleiben dabei erhalten.
3. Zahlung und Rückerstattung
Die Zahlung erfolgt über Stripe; ALKENS Development erhält keine vollständige Kartennummer. Rückerstattungsanfragen an alkstodevelopment@gmail.com werden im Einzelfall geprüft, unter Beachtung zwingenden Konsumentenschutzrechts.
4. Einschränkungen und Verantwortung des Kunden
Keine Weitergabe, Veröffentlichung, Unterlizenzierung außerhalb der eigenen Organisation oder Umgehung von Sicherheits-/Lizenzkontrollen. Der Kunde ist insbesondere verantwortlich für unabhängige und geprüfte Backups, Geräte, Netzwerk, Firewall, Benutzerrechte, LAN-Peers, optionales SMTP, Datenrechtmässigkeit sowie aktuelle Zahlungs-/Rechnungsangaben. Die Software darf nie die einzige Kopie von Daten enthalten.
5. Gewährleistungsausschluss
SOWEIT GESETZLICH ZULÄSSIG, WIRD DIE SOFTWARE „WIE BESEHEN", „WIE VERFÜGBAR" UND MIT ALLEN FEHLERN OHNE AUSDRÜCKLICHE, STILLSCHWEIGENDE ODER GESETZLICHE GEWÄHRLEISTUNG BEREITGESTELLT, AUSSER SOWEIT IN DIESER VEREINBARUNG AUSDRÜCKLICH ANDERS GEREGELT. ZWINGENDE VERBRAUCHERSCHUTZRECHTE BLEIBEN UNBERÜHRT.
6. Haftungsbeschränkung
SOWEIT GESETZLICH ZULÄSSIG, HAFTET ALKENS DEVELOPMENT NICHT FÜR INDIREKTE, ZUFÄLLIGE, BESONDERE ODER FOLGESCHÄDEN UND NICHT FÜR VERLUST VON DATEN, GEWINN, UMSATZ, GESCHÄFT, CHANCEN, GOODWILL, VERFÜGBARKEIT ODER BETRIEBSKONTINUITÄT. Die Gesamthaftung ist auf die für die betroffene Lizenzlaufzeit tatsächlich bezahlten Gebühren begrenzt. Nicht ausgeschlossen oder beschränkt wird eine Haftung für rechtswidrige Absicht oder grobe Fahrlässigkeit sowie sonstige Haftung, deren Ausschluss zwingendes Recht nicht erlaubt.
7. Datenschutz und Recht
Arbeitsbereichsdaten verbleiben auf der vom Kunden kontrollierten Infrastruktur. Angaben zu Checkout-, Abrechnungs- und Lizenzverwaltungsdaten enthält die Datenschutzerklärung zur kostenpflichtigen Beta. Schweizer Recht ist anwendbar; Gerichtsstand ist Lindau, Kanton Zürich, soweit zwingendes Recht keinen anderen Gerichtsstand vorschreibt. Bei Widersprüchen gilt die englische Fassung, soweit rechtlich zulässig.
Annahme: Die vollständige englische Fassung, diese deutsche Kurzfassung und die Datenschutzerklärung müssen dem Kunden vor Zahlungsabschluss bereitgestellt und ausdrücklich angenommen werden.
