Terms of Service & License Agreement

ALKENS Development is a sole proprietorship (Einzelunternehmen) registered in Switzerland under UID CHE-196.798.718, with its registered seat in Lindau, Canton of Zurich / mit Sitz in Lindau, Kanton Zürich.
1. Definitions
"Software" means ReqBridge Team, including all updates, documentation, and related materials. "Customer" means the individual or organization that purchases and/or uses the Software. "License" means the right granted under Section 2. "Order" means the purchase transaction processed via Stripe confirming tier, seats, and term.
2. Grant of License
Subject to payment and compliance with this Agreement, ALKENS Development grants the Customer a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the Customer's own infrastructure, for the seats and term specified in the Order. All rights not expressly granted are reserved.
3. Proprietary Rights
The Software, including all source code, design elements, and compiled binaries, is the exclusive intellectual property of ALKENS Development. The Customer receives no ownership interest. Modification, reverse-engineering, decompilation, disassembly, creation of derivative works, or redistribution is prohibited, as is removing or altering copyright, trademark, or proprietary notices.
4. Term, Renewal & Termination
Term: one (1) year from activation, unless stated otherwise in the Order. Renewal: automatic for successive one-year terms via the payment method on file, processed by Stripe, unless cancelled before the renewal date via the customer account portal or written notice. Termination for cause: ALKENS Development may suspend or terminate immediately for breach (including non-payment, license key sharing beyond purchased seats, or violation of Section 3 or 8) not cured within fourteen (14) days of notice, where curable. Effect: on termination or non-renewal, the Customer must cease all use. Sections 3, 6, 7, 9, 10, 11, and 14 survive termination.
5. Fees, Payment & Refunds
Fees are as stated at checkout, processed by Stripe; ALKENS Development does not store card details. Renewal prices may change with at least thirty (30) days' notice before the next renewal. Except where required by law, fees are non-refundable once a license key is issued; if the Software materially fails to function as described and this cannot be remedied within a reasonable time, the Customer's sole remedy is a pro-rated refund for the unused portion of the current term.
6. Product Releases & Support
ALKENS Development will make reasonable efforts to deliver up to two (2) releases or updates per licensing year, at its discretion. During the Beta phase, updates may be released more frequently, and features, workflows, or the tier structure may change based on Beta feedback. Support is limited to basic installation and activation assistance; custom development, on-site support, and bespoke integration are not included and may be available separately by written agreement.
7. Data Protection
ReqBridge Team is local-first: workspace data (requirements, tickets, chat, attachments, related records) is stored on infrastructure the Customer controls. As between the parties, the Customer is the data controller for all workspace data — ALKENS Development does not access, host, or process it except where the Customer voluntarily requests support. Payment/account data needed to fulfill the Order is processed by Stripe and, where applicable, ALKENS Development per the Privacy Policy. The Customer is solely responsible for access controls, network security, and backups for its own data — see Section 10.
8. Restrictions
The Customer may not resell, sublicense, or redistribute the Software or installer; use it to build a competing product; reverse engineer, decompile, or modify it; remove or obscure notices; or bypass, disable, or attempt to circumvent payment, license, or access controls.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALKENS DEVELOPMENT DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE CUSTOMER ACKNOWLEDGES THAT THE SOFTWARE IS CURRENTLY DISTRIBUTED AS A BETA (PRE-RELEASE) VERSION AND MAY BE INCOMPLETE, UNSTABLE, OR SUBJECT TO MATERIAL CHANGES — INCLUDING TO FEATURES, THE TIER STRUCTURE, PRICING, OR CONTINUED AVAILABILITY — WITH LESS NOTICE THAN WOULD OTHERWISE APPLY UNDER SECTION 14. THIS DISCLAIMER APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW; NOTHING HERE EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALKENS DEVELOPMENT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. WITHOUT LIMITATION, ALKENS DEVELOPMENT IS NOT RESPONSIBLE FOR (A) DATA LOSS, INCLUDING SYSTEM DOWNTIME, DATABASE CORRUPTION, OR LOSS OF WORKSPACE RECORDS, CHATS, TICKETS, OR ATTACHMENTS; OR (B) PRIVACY OR SECURITY INCIDENTS ON THE CUSTOMER'S OWN NETWORK, DEVICES, OR STORAGE. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The Customer assumes full responsibility for data retention, firewall rules, security policies, and regular backups of its own workspace data.
11. Indemnification
The Customer will indemnify and hold ALKENS Development harmless from third-party claims, damages, or expenses (including reasonable legal fees) arising from: (a) use of the Software in violation of this Agreement or applicable law; (b) data or content the Customer stores, processes, or shares through the Software; or (c) breach of Section 3 or Section 8.
12. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including third-party infrastructure outages (e.g. Stripe, Infomaniak), internet/power disruptions, or government action.
13. Governing Law & Jurisdiction
This Agreement is governed by the laws of Switzerland, excluding conflict-of-law rules and the CISG. Exclusive jurisdiction for disputes is Lindau, Canton of Zurich, Switzerland, unless a mandatory consumer-protection rule requires otherwise for a given Customer.
14. General
Assignment: ALKENS Development may assign this Agreement in connection with a merger, acquisition, or asset sale; the Customer may not assign without prior written consent. Severability: an unenforceable provision does not affect the rest of this Agreement. Entire Agreement: this Agreement, the Order, and the Privacy Policy form the entire agreement on this subject. Amendments: material changes are notified at least fourteen (14) days before taking effect; continued use after that date constitutes acceptance. No Waiver: failure to enforce a provision is not a waiver. Notices: to ALKENS Development at support@alkensdevelopment.ch; to the Customer at the email on the Order. Language: provided in English and German for convenience — the English version governs in the event of conflict, except where mandatory local-language rules apply.
Bei Widersprüchen zwischen den Sprachfassungen ist gemäss Abschnitt 14 der englische Text massgebend, soweit keine zwingenden lokalen Sprachvorschriften entgegenstehen.
1. Begriffsbestimmungen
„Software" bezeichnet ReqBridge Team einschliesslich aller Updates, Dokumentationen und zugehörigen Materialien. „Kunde" bezeichnet die Person oder Organisation, die eine Lizenz erwirbt und/oder die Software nutzt. „Lizenz" bezeichnet das gemäss Abschnitt 2 gewährte Recht. „Bestellung" bezeichnet den über Stripe abgewickelten Kaufvorgang.
2. Lizenzerteilung
Vorbehaltlich Zahlung und Einhaltung dieser Vereinbarung gewährt ALKENS Development dem Kunden eine eingeschränkte, nicht-exklusive, nicht übertragbare, widerrufliche Lizenz zur Installation und Nutzung der Software auf eigener Infrastruktur, gemäss Bestellung. Alle nicht ausdrücklich gewährten Rechte verbleiben bei ALKENS Development.
3. Eigentumsrechte
Die Software ist ausschliessliches geistiges Eigentum von ALKENS Development. Der Kunde erhält keine Eigentumsrechte. Modifikation, Reverse-Engineering, Dekompilierung, Disassemblierung, abgeleitete Werke oder Weiterverbreitung sind untersagt, ebenso das Entfernen von Rechtshinweisen.
4. Laufzeit, Verlängerung & Kündigung
Laufzeit: ein (1) Jahr ab Aktivierung. Verlängerung: automatisch, sofern nicht vor dem Verlängerungsdatum gekündigt. Kündigung aus wichtigem Grund: bei Vertragsverstoss (u. a. Zahlungsverzug, unerlaubte Weitergabe des Lizenzschlüssels, Verstoss gegen Abschnitt 3/8), nicht behoben innerhalb 14 Tagen. Wirkung: Nutzung muss eingestellt werden; Abschnitte 3, 6, 7, 9, 10, 11, 14 gelten fort.
5. Gebühren, Zahlung & Rückerstattung
Gebühren gemäss Checkout, abgewickelt über Stripe. Preisänderungen mit mindestens 30 Tagen Vorankündigung. Keine Rückerstattung nach Ausstellung des Lizenzschlüssels, ausser gesetzlich vorgeschrieben oder bei wesentlichem, nicht behebbarem Mangel (anteilige Rückerstattung für ungenutzten Zeitraum).
6. Produkt-Releases & Support
Bis zu zwei (2) Releases pro Lizenzjahr nach angemessenem Bemühen. Während der Beta-Phase können Updates häufiger erfolgen und sich Funktionen oder die Stufenstruktur aufgrund von Beta-Feedback ändern. Support beschränkt sich auf grundlegende Installations- und Aktivierungsunterstützung.
7. Datenschutz
ReqBridge Team ist lokal-first. Der Kunde ist verantwortliche Stelle für sämtliche Arbeitsbereichsdaten. Zahlungs-/Kontodaten werden von Stripe und ggf. ALKENS Development gemäss Datenschutzerklärung verarbeitet.
8. Einschränkungen
Kein Weiterverkauf, keine Unterlizenzierung, kein Reverse-Engineering, keine Umgehung von Zahlungs-, Lizenz- oder Zugriffskontrollen.
9. Gewährleistungsausschluss
DIE SOFTWARE WIRD „WIE BESEHEN" UND „WIE VERFÜGBAR" OHNE JEGLICHE GEWÄHRLEISTUNG ZUR VERFÜGUNG GESTELLT, IM GRÖSSTMÖGLICHEN GESETZLICH ZULÄSSIGEN UMFANG. DER KUNDE NIMMT ZUR KENNTNIS, DASS DIE SOFTWARE DERZEIT ALS BETA-VERSION (VORABVERSION) VERTRIEBEN WIRD UND UNVOLLSTÄNDIG ODER INSTABIL SEIN ODER WESENTLICHEN ÄNDERUNGEN UNTERLIEGEN KANN — EINSCHLIESSLICH FUNKTIONEN, STUFENSTRUKTUR, PREISEN ODER VERFÜGBARKEIT — MIT KÜRZERER ANKÜNDIGUNGSFRIST ALS SONST NACH ABSCHNITT 14 VORGESEHEN.
10. Haftungsbeschränkung
KEINE HAFTUNG FÜR INDIREKTE, ZUFÄLLIGE ODER FOLGESCHÄDEN. GESAMTHAFTUNG BEGRENZT AUF DIE IN DEN LETZTEN 12 MONATEN GEZAHLTEN GEBÜHREN.
Der Kunde trägt die volle Verantwortung für Datenspeicherung, Firewall-Regeln und Backups.
11. Freistellung
Der Kunde stellt ALKENS Development von Ansprüchen Dritter frei, die aus vertragswidriger Nutzung, den Daten des Kunden oder einem Verstoss gegen Abschnitt 3/8 entstehen.
12. Höhere Gewalt
Keine Haftung für Ereignisse ausserhalb angemessener Kontrolle (z. B. Ausfälle von Stripe, Infomaniak).
13. Anwendbares Recht & Gerichtsstand
Schweizerisches Recht; ausschliesslicher Gerichtsstand ist Lindau, Kanton Zürich, Schweiz, vorbehaltlich zwingender Verbraucherschutzvorschriften.
14. Allgemeines
